By joining and using YooCashback Network, you acknowledge that you have read and agree to these Terms of Use, and your membership activities shall be governed by these Terms. As YooCashback Network does not operate within industries or enterprises concerning national economy and people's livelihood or monopolistic sectors, should you disagree with this User Agreement, you are entirely free to choose not to join or use YooCashback Network.
This Agreement is jointly established between you and Shanghai Zhongyan Information Technology Co., Ltd., and shall have contractual effect.
The parties to this Agreement shall collectively be referred to as the "Parties". Shanghai Zhongyan Information Technology Co., Ltd., also referred to herein as "YooCashback Network", is a company providing shopping YooCashbacks, promotional information, event shopping guides, advertising and other services. It operates from its registered office at No. 1, Building B, Lane 200, Longcao Road, Xuhui District, Shanghai, with the domain name www.YooCashback.com.
1. This Agreement comprises the main text and all rules published or to be published by YooCashback Network. All such rules form an integral part of this Agreement and carry equal legal force. Unless otherwise explicitly stated, all services provided by YooCashback Network and its affiliated companies shall be governed by this Agreement. Where mandatory provisions of laws or regulations prevail, such provisions shall apply.
2. By clicking to submit "I have read and agree to the YooCashback Network Terms of Service" during account registration, you are deemed to have accepted this Agreement and all rules, and agree to be bound by them. You shall carefully read the entire Agreement and ensure full understanding of its contents prior to using YooCashback Network services. Should you have any queries regarding the Agreement, you should consult YooCashback Network. Regardless of whether you have in fact carefully read this Agreement before using YooCashback Network services, your registration, current use, or continued use of YooCashback Network services shall be deemed acceptance of this Agreement.
3. You undertake to accept and comply with the terms of this Agreement. Should you disagree with any provision herein, you shall immediately cease the registration process or discontinue use of the YooCashback Network services.
4. In accordance with changes to national laws and regulations and the operational requirements of YooCashback Network, YooCashback Network reserves the right to amend the terms of this Agreement and related rules from time to time. The amended content shall take effect once published on this platform in any form and shall supersede the previous relevant content. You should periodically review YooCashback Network's announcements, prompts, and changes to the Agreement, rules, and other relevant content. You acknowledge and confirm that should you disagree with the updated content, you shall immediately cease using the YooCashback Network service. Your continued use of the YooCashback Network shall be deemed as acknowledgement of the amended content and acceptance thereof. The provisions of this Agreement and the Rules (and their respective amendments from time to time) are severable. Should any provision be deemed unlawful, invalid, revoked, altered, or unenforceable for any reason, such determination shall not affect the legality, validity, or enforceability of the remaining provisions.
You must be a natural person, legal entity, or other organisation possessing full civil rights capacity and full civil conduct capacity. Should you lack the aforementioned legal capacity, you and your legal guardian shall bear all consequences arising therefrom. YooCashback Network reserves the right to cancel (permanently freeze) your account and seek compensation or recourse from you and your guardian. Should you lack the aforementioned legal capacity, registration as a YooCashback Network member requires your guardian's consent. Failure to obtain such consent shall render you and your guardian liable for all consequences arising therefrom. YooCashback Network reserves the right to terminate (permanently freeze) your account and seek compensation or recourse from you and your guardian.
YooCashback Network lacks the capacity to conduct substantive verification of your civil rights capacity and civil conduct capacity. Therefore, upon registration, YooCashback Network may deem you to possess full civil rights capacity and full civil conduct capacity.
Upon signing this Agreement, completing the membership registration process, or actually using YooCashback Network services in any other manner permitted by YooCashback Network, YooCashback Network shall provide you with a uniquely numbered YooCashback Network account (hereinafter also referred to as the "Account").
You may set a member name and password for your Account, and log in to the YooCashback Network platform using this member name and password or any other username and password associated with it. The member name you set must not infringe upon or be suspected of infringing upon the lawful rights and interests of others.
You shall be responsible for the security of your Account (username) and password, as well as for any actions undertaken through your Account (username) and password. Unless through lawful procedures and with the consent of YooCashback Network, the Account (username) and password may not be transferred, gifted, or inherited in any manner. Should you discover any unauthorised use of your account or any other circumstances that may compromise its security, you must immediately notify Cashback.com in an effective manner and request that Cashback.com suspend the relevant services. You acknowledge that YooCashback Network requires a reasonable period to act upon your request. YooCashback Network shall not be liable for any consequences arising prior to taking action (including but not limited to any losses incurred by you), except where YooCashback Network fails to act within a reasonable timeframe. You confirm that ownership and other relevant rights pertaining to data and related information provided or generated during your registration and use of YooCashback Network services belong to YooCashback Network, which retains the right to utilise such information.
Upon completing the registration process by filling in information as prompted on the registration page, reading and agreeing to this Agreement, or upon actually using YooCashback Network services through other methods permitted by YooCashback Network, you shall become a YooCashback Network member (also referred to as a Member).
Upon registration, you shall accurately provide and promptly update your information in accordance with legal requirements or registration page prompts, ensuring it remains truthful, timely, complete, and accurate. Should there be reasonable grounds to suspect that the information you have provided is erroneous, untrue, outdated, or incomplete, YooCashback Network reserves the right to issue an inquiry and/or request for correction. Should you fail to respond to YooCashback Network's inquiry and/or complete the correction within the reasonable timeframe specified by YooCashback Network, YooCashback Network reserves the right to delete the relevant information and temporarily suspend your account, up to and including terminating the provision of some or all YooCashback Network services to you. YooCashback Network shall bear no liability in this regard, and you shall bear any costs or expenses incurred as a result.
You shall accurately complete and promptly update your contact details, including email address, telephone number, contact address, and postcode, to enable effective communication between YooCashback Network or other members and yourself. Should any loss or additional expense arise during your use of YooCashback Network services due to the inability to contact you via these details, you shall bear full and sole responsibility. YooCashback Network shall not be liable for such consequences. To safeguard user funds and comply with legal requirements for real-name authentication, certain services necessitate completion of real-name verification. For instance, when withdrawing funds via your YooCashback Network account, you must follow on-screen prompts to complete real-name verification and provide valid identity information to enable YooCashback Network to process your withdrawal promptly.
All taxes, duties, and fees incurred during your use of YooCashback Network services, as well as all hardware, software, service, account maintenance, and other related expenses, shall be borne solely by you. You agree that YooCashback Network reserves the right to deduct such fees from your relevant accounts as a priority.
For members whose accounts have been frozen or temporarily suspended by YooCashback Network, the platform shall cease providing services under the Member Chain Programme.
To ensure you receive timely updates on product offers, promotional policies, and related information, you consent to YooCashback Network sending marketing text messages to the mobile number provided during registration. These messages may include, but are not limited to, promotional campaign details, transaction notifications, and sales information. Should you wish to opt out of receiving such communications, you may do so by sending a text message or contacting customer service.
1. YooCashback Network members (hereinafter referred to as "Members") may earn points by participating in various activities organised by YooCashback Network and its partner organisations.

Points constitute a privilege earned by Members through participation in, or clicking upon, activities organised by YooCashback Network and its partner organisations, as well as their designated links and pages. These points may be redeemed for various prizes and services provided by YooCashback Network. YooCashback Network points comprise two types: YooCashback Points and F-Coins. They are applicable solely to activities organised by YooCashback Network and its partner organisations and do not constitute any form of asset for Members.
3. Points due to Members shall be credited to their YooCashback Network accounts by YooCashback Network in accordance with the relevant activity rules. The rules for earning points are detailed in the specific activity pages; please pay close attention to the relevant activity pages on the website.
4. Points may not be transferred to others through sale, gifting, or any other means, except when involved in reward transactions conducted via channels or platforms designated by the Cashback Network.

The YooCashback portion and subsidies (if applicable) within members' points may be transferred for cash redemption upon application to YooCashback Network, provided such redemption complies with applicable laws, regulations, and YooCashback Network rules (including specific activity rules established by YooCashback Network and its partners). Under normal circumstances, YooCashback Network will complete the transfer within five working days of receiving the application (subject to extension during public holidays). YooCashback Network offers redemption via methods such as UnionPay or Alipay transfers.

Under normal circumstances, YooCashback Network will process the corresponding reward redemption for members within 3 working days (subject to extension during public holidays).

Through YooCashback Network services and other offerings provided by its affiliates or partner organisations, members may, within permitted business rules: publish transaction information on the platform; query product and service details; establish transaction intentions and conduct internal site transactions; evaluate other members; participate in YooCashback Network-organised activities; and utilise other information and technical services.
8. Should a dispute arise between you and another member or third party during transactions on the Cashback Network, either party or both parties may submit a request to for mediation. The Cashback Network reserves the right to make mediation decisions based on its sole discretion, including but not limited to temporarily freezing your account or removing your product listings. You acknowledge and agree to accept the Cashback Network's judgement and mediation decisions, which shall be binding on your dispute.
9. You acknowledge and agree that YooCashback Network reserves the right to provide necessary information, including your registration details and transaction records submitted to YooCashback Network, to government authorities (including judicial and administrative bodies) in response to their legitimate and lawful requests. Should you be suspected of infringing upon another party's intellectual property rights or other lawful rights and interests, YooCashback Network shall also retain the right to provide your necessary identity information to the rights holder upon preliminary determination of suspected infringement or other unlawful conduct. Unless otherwise required by laws, regulations, or relevant government authorities, YooCashback Network shall promptly issue written notification to you following any such disclosure of information.
In using the YooCashback Network service, you undertake to comply with the following usage regulations:
1. Members warrant the accuracy of their registration information.
2. Should any details provided to YooCashback Network undergo alteration, members shall promptly notify YooCashback Network to effect corresponding modifications.
3. Members shall not engage in malicious registration or fraudulent clicking.
4. Members shall promptly utilise points accumulated in their YooCashback Network accounts. Points remain valid for one year, calculated from the date they are credited to the member's account through various activities. Points not redeemed by the expiry date shall become invalid and be reset to zero. One month prior to the expiry date, YooCashback Network shall notify members via their registered contact details to redeem expiring points promptly. Following expiry, a one-month grace period shall be granted during which members may apply to redeem expired points. Points remaining unredeemed after this grace period shall be formally invalidated and reset to zero.
5. Cashback Network member accounts showing no login activity for one year shall be deemed dormant and frozen. Commencing from the second month of account freezing, Cashback Network reserves the right to automatically deduct expired points on the 1st of each month. Members may apply to Cashback Network for account unfrozen. Upon receiving such an application, Cashback Network may unfreeze the account, but deducted points cannot be restored.
6. Accounts inactive for over two years may be terminated at YooCashback Network's discretion. Upon termination, all points will be automatically reset to zero and cannot be recovered. YooCashback Network will not accept requests to unfreeze or restore such accounts, and the corresponding username will become available for registration by any user.
7. All actions undertaken while using YooCashback Network's services shall comply with national laws, regulations, and other normative documents, as well as YooCashback Network's rules and requirements. Such actions shall not contravene public interest or morality, infringe upon others' lawful rights and interests, or violate this Agreement and related rules. Should you breach the foregoing undertakings and incur any legal consequences, you shall bear all legal liabilities solely and ensure YooCashback Network is indemnified against any resulting losses. Should YooCashback Network incur corresponding liabilities or compensate for related losses, you hereby undertake that YooCashback Network may seek recourse from you, with such liabilities or losses ultimately borne by you.
8. During transactions with other members, adhere to the principle of good faith and fair dealing. Refrain from engaging in unfair competition practices, disrupting the normal order of online transactions, or undertaking activities unrelated to online transactions.
9. Refrain from making improper evaluations of other members through fabrication or distortion of facts. Do not employ improper means to create or enhance your own credit rating, nor to create or enhance (or diminish) the credit rating of other members.
10. Members shall not commercially exploit any data on the YooCashback Network platform, including but not limited to using materials displayed on the YooCashback Network website through copying, dissemination, or any other means without prior written consent from YooCashback Network.
11. YooCashback Network strictly prohibits members from obtaining benefits through any of the following actions. Upon discovery, YooCashback Network reserves the right to recover the member's account and any associated accounts (as determined by YooCashback Network's system data, including but not limited to member registration information, transaction details, third-party feedback, device terminal information, IP addresses, etc., as defined herein). Such members shall be added to YooCashback Network's blacklist, have their accounts frozen or terminated, and shall bear all losses incurred by YooCashback Network as a result.
12. Cashback websites strictly prohibit all forms of cheating targeting cashback activities. For verified instances of cheating, we reserve the right to revoke all referral rewards from the account and its associated accounts, cancel referral eligibility, deduct a certain amount of points, and place the account on the cashback website's blacklist. Cheating includes but is not limited to: registering multiple accounts on the same day using the same computer/device or IP address to fraudulently obtain referral rewards; inducing users to register on YooCashback Network for rewards through incentives such as sign-up bonuses or points; maliciously cancelling transactions or requesting refunds/returns after receiving YooCashbacks.
13. YooCashback Network prohibits members from conducting any form of promotion within its partner shopping malls.
14. Should an order incur after-sales issues due to your actions, or if the platform (whether this platform or a third-party platform) determines the order violates rules, Cashback Network shall deduct the corresponding cashback. In such instances, your order may become invalidated or your account may experience abnormalities, and your membership privileges may be affected (including but not limited to instant cashback, account withdrawals, etc.). Please be advised.
15. You shall not employ any device, software, or routine to interfere with or attempt to interfere with the normal operation of the YooCashback Network platform or any transactions or activities conducted on it. You shall not take any action that imposes an unreasonable or disproportionate load on YooCashback Network's network equipment. Should you do so, YooCashback Network reserves the right to pursue your liability, including but not limited to cancelling relevant points, revoking referral rewards, disqualifying you from referral programmes, adding your account to YooCashback Network's blacklist, freezing your account, or terminating your account. Should such actions cause losses to YooCashback Network or result in YooCashback Network bearing corresponding legal liabilities, YooCashback Network reserves the right to seek compensation from you and ultimately hold you liable.
You acknowledge and agree that YooCashback Network reserves the right to take the following actions:
1. YooCashback Network reserves the right to unilaterally determine whether you have breached the above undertakings and to apply the rules accordingly based on such determination, without requiring your consent.
2. Should valid legal documents issued by state administrative or judicial authorities confirm your involvement in unlawful or infringing activities, or should YooCashback Network, based on its own judgement, deem your conduct to potentially violate the terms of this Agreement and/or the rules, or to potentially contravene laws and regulations, YooCashback Network reserves the right to publicly disclose on the YooCashback Network platform your alleged unlawful or breach-of-contract conduct and the measures YooCashback Network has taken against you.
3. For any information you publish on the YooCashback Network that is suspected of being unlawful, infringing upon the lawful rights of others, or violating this Agreement and/or the Rules, the YooCashback Network reserves the right to remove such information and impose penalties in accordance with the Rules.
4. Regarding any actions you undertake on the YooCashback Network, including actions not performed on the platform but which have impacted the YooCashback Network or its users, the YooCashback Network reserves the right to unilaterally determine the nature of your actions and whether they constitute a breach of this Agreement and/or the Rules, and to impose corresponding penalties accordingly. You shall retain all evidence pertaining to your actions and shall bear the adverse consequences arising from your inability to provide sufficient and necessary evidence.
5. Should any third party suffer damages due to your suspected breach of commitments, you shall independently bear all legal liabilities in your own name and ensure YooCashback Network is indemnified against any resulting losses or additional expenses. Should YooCashback Network incur corresponding liabilities or compensate for related losses, you hereby undertake that YooCashback Network may seek recourse from you. Such liabilities or losses shall ultimately be borne by you, including reasonable legal fees, investigation costs incurred by relevant authorities, etc.
6. Should your alleged breach of applicable laws or this Agreement cause YooCashback Network any loss, or result in any third-party claim or administrative penalty, you shall compensate YooCashback Network for all losses and/or expenses incurred, including reasonable legal fees and investigation costs from relevant authorities.
7. Materials displayed on the Cashback Network (including but not limited to text, charts, logos, images, digital downloads, and data compilations) constitute the property or rights of the Cashback Network or its content providers. The compilation of all content on the Cashback Network is subject to the copyright of the Cashback Network. All software on the Cashback Network is the property or rights of the Cashback Network, its affiliated companies, or its software suppliers. The aforementioned intellectual property rights are protected by law. Should you infringe upon the aforementioned rights, YooCashback Network reserves the right to take action against you in accordance with its rules and pursue your legal liability.
8. YooCashback Network lacks the capacity to conduct substantive verification of your registration or enrolment details. Consequently, you shall bear full responsibility for any consequences arising from inaccuracies in your registration or enrolment information, and YooCashback Network shall not be held liable. Should YooCashback Network be required by law to assume liability in advance, you hereby undertake that YooCashback Network shall have the right to seek recourse from you, with you ultimately bearing said liability.
You fully understand and irrevocably grant YooCashback.com and its affiliated companies the following rights:
1. Should you make any form of commitment to YooCashback Network, its affiliates, or its partner organisations, and should the relevant company or organisation confirm that you have breached such commitment, YooCashback Network reserves the right to immediately impose restrictions on your account in accordance with the terms of your commitment or agreement. Such restrictions may include the suspension or termination of services provided to you, alongside the public disclosure of the breach as confirmed by the relevant company. You acknowledge and agree that, unless otherwise expressly required by applicable laws and regulations, YooCashbackNet shall not be obliged to verify the facts with you regarding such confirmation or obtain your separate consent, and YooCashbackNet shall not bear any liability towards you for such restrictive measures or public disclosure.
2. Should you breach this Agreement or any other agreement entered into with YooCashback Network, YooCashback Network reserves the right to notify its affiliated companies or partner organisations by any means, requesting them to impose restrictions on your rights and interests. Such restrictions may include, but are not limited to, requiring YooCashback Network to transfer points in your account to a designated recipient, instructing affiliated companies to suspend or terminate provision of some or all services to you, and publishing details of your breach on any website operated or effectively controlled by them.
3. YooCashback Network and its affiliated companies shall have the right to adjudicate disputes arising from transactions between you and other members. They shall possess the authority to unilaterally determine the relevant facts and applicable rules pertaining to such disputes, thereby rendering a resolution decision. This resolution decision shall be binding upon you. Should you fail to comply with the resolution within the stipulated timeframe, YooCashback Network and its affiliates shall have the right (but not the obligation) to directly dispose of the points in your YooCashback Network account. Should the dispute cause losses to YooCashback Network and its affiliates, you shall promptly compensate them for such losses. Failure to do so shall entitle YooCashback Network and its affiliates to directly offset your rights under the contract and within your account, and to pursue further recourse.
1. YooCashback Network provides services to you on an "as is" and "as available" basis, and shall only be liable for services it directly provides. YooCashback Network makes no warranties and assumes no responsibility for services or products provided by third parties to members, but shall assist in negotiations between members and third parties to safeguard members' legitimate rights and interests.
2. You acknowledge that information on the YooCashback Network is published by third parties or other members and may involve risks and imperfections. The YooCashback Network serves solely as a venue for transactions. YooCashback Network serves solely as a venue for you to obtain information about goods or services, identify potential trading partners, negotiate transactions concerning goods and/or services, and conduct such transactions. However, YooCashback Network cannot control the quality, safety, or legality of goods involved in transactions, the authenticity or accuracy of commercial information, or the ability of trading parties to fulfil their obligations under trade agreements. You should exercise your own judgement to determine the authenticity, legality and validity of relevant goods and/or information, and bear all associated risks yourself.
3. Product information on YooCashback Network, including prices, quantities, and availability, is subject to change at any time without specific notice. You acknowledge and understand that due to the vast volume of product information on the website, although YooCashback Network shall use reasonable endeavours to ensure the accuracy and timeliness of the product information you browse, the information displayed may experience certain delays or inaccuracies owing to well-known objective factors such as internet technology limitations. YooCashback Network shall not be liable for any inconvenience or issues arising therefrom. Please note that the final price of a product shall be as stated on the order checkout page. Should you encounter any discrepancies in promotional pricing or offers, kindly consult customer service prior to purchase.

Regarding Price Explanations: Strikethrough Price: Refers to the product's counter price, tag price, genuine retail price, manufacturer's suggested retail price, or a previously displayed sales price. Any dispute mediation by YooCashback Network and its affiliates is solely based on your entrustment. YooCashback Network and its affiliates cannot guarantee dispute resolution outcomes will meet your expectations and shall bear no liability for the conclusions reached. Should you suffer losses as a result, you agree to seek compensation through legal channels directly from the beneficiary or other relevant parties.

You acknowledge and agree that YooCashback Network shall not be liable for any damages incurred by you arising from any of the following circumstances, including but not limited to loss of profits, goodwill, use, data, or other intangible losses (whether or not YooCashback Network has been advised of the possibility of such damages):

For any damages or economic losses arising from the use of the YooCashback Network service, the total liability borne by the YooCashback Network shall not exceed the price of the service or goods purchased through the YooCashback Network or related to the claim. This liability limitation clause shall remain valid after membership is frozen, suspended, or cancelled.

Under no circumstances shall YooCashback Network be liable for any failure or delay in service due to strikes, riots, insurrections, disturbances, fires, floods, storms, explosions, wars, governmental actions, orders of judicial or administrative authorities, or other causes beyond YooCashback Network's control. YooCashback Network shall use reasonable endeavours to address any resulting consequences.

You agree that YooCashback Network reserves the right to suspend or terminate the provision of some or all YooCashback Network platform services to you, and to temporarily freeze or permanently freeze (cancel) your account, without incurring any liability to you or any third party, except where otherwise expressly required by this Agreement or applicable laws and regulations.

Upon YooCashback Network's approval following review, your account shall be cancelled (permanently frozen), at which point the contractual relationship between you and YooCashback Network under this Agreement shall cease. Following the cancellation (permanent suspension) of your account, YooCashback Network shall bear no obligation to retain or disclose any information within your account to you, nor shall it be obliged to forward any unread or unsent communications to you or any third party. For details regarding the procedures for account cancellation and the conditions you must fulfil, please refer to Appendix I: YooCashback Network Account Cancellation Guidelines.
4. You agree that following the termination of your contractual relationship with YooCashback Network, YooCashback Network, its affiliated companies, or its partner organisations shall retain the following rights:

Following the suspension or termination of services provided to you by YooCashback Network, any transactions conducted prior to such suspension or termination shall be handled in accordance with the following principles. You shall independently manage and bear full responsibility for any disputes, losses, or additional costs arising from the implementation of these measures, and shall ensure YooCashback Network is held harmless from any resulting losses or expenses:

1. The validity, interpretation, amendment, enforcement, and dispute resolution of this Agreement shall be governed by the laws of the People's Republic of China. Where no relevant legal provisions exist, reference shall be made to general international commercial practices and/or industry conventions.
2. Any disputes arising from this Agreement shall be handled in accordance with the laws of the People's Republic of China. Should the parties fail to resolve the dispute through negotiation, it shall be submitted to the People's Court at the location of Shanghai Zhongyan Information Technology Co., Ltd. for litigation resolution.
